General Conditions Of Sale And Supply
Unless otherwise agreed, the following of sale and supply are applicable:
1. Offer
Unless otherwise expressly stated, any offer is only binding upon us for 60 days and subject to any change in basic raw material prices in the case of Orders for quantities larger or smaller than those offered We reserve the right to amend the prices and delivery date. Where drawings, descriptions, models and the like are submitted free of charge in connection with an offer, these shall remain our property. Such in no way be misused or transferred to a third party, and must be returned to us if our offer is not accepted.
2. Prices
The Company reserves the right to vary the price of goods in the event of an increase in costs. Customers will be advised of any such price increases prior to delivery.
We reserve the right to cancel a customers order in the event that an item is listed at the incorrect selling price after the order is taken, but before the order has been despatched. (Orders that have been despatched/delivered/collected will not be affected)
3. Orders
Unless otherwise agreed, all orders shall be entered at the prices valid on the day of the order, and as regards delivery shall be subject to force majeure and other circumstances over which we have no control. The conditions of delivery and payment are apparent from the Order Confirmation/invoices/statement of account. The prices stated are exclusive of national taxes.
4. Delivery and Shipment
The goods are in all cases sent at the purchaser's risk, regardless of whether the purchaser or the vendor has paid for the cost of carriage. If the delivery is postponed owing to the purchase's circumstances, the risk is transferred to the agreed, shipment shall be effected by the method, which we find most appropriate in each case. In the event of deficiencies in the delivery, which are not covered by paragraph 6, we are not responsible for loss of profits, operating losses or other indirect losses.
5. Payment
If the deadline for the payment is exceeded, the purchaser may be liable to pay interest on the amount due at a rate determined in each case by the vendor.
6. Claims
A claim relating to faults of deficiencies in execution of an order must be made within 7 days following receipt of the goods. Goods can only be accepted for return in undamaged condition and after prior agreement, with a relevant deduction for return. For all goods, which are returned by agreement a minimum 10% is deducted from the invoiced value on the credit note. We are not liable for loss of profit, operating losses resulting from deficient supply.
7. Product liability
If any goods supplied by us is causing damage to a person or thing, We are only liable if it can be proved with documentary evidence that the damage is attributable to our own fault or neglect. We are not liable for operating losses, loss of profits, or other indirect losses. Our liability damage to things can never exceed 1000.00 pounds sterling, or as covered by our liability insurance.
8. Force Majeure
We reserve the right to exception from liability for force majeure of any nature when they occur after an agreement is entered into and entails delayed delivery or impedes fulfilment of the agreement.
9. Law
The contract shall be governed by the Law of England. Any dispute arising out of this contract shall be subject to the exclusive jurisdiction of the English Courts.
10. Retention of Title
Notwithstanding delivery and the passing of risk, property in and title to the goods shall remain with us until we have received payment of the full price of (a) all goods supplied of the contract and (b) all other goods supplied by us to the purchaser under any contract whatsoever. Payment of the full price shall include, without limitation, the amount of any interest or other sum payable under the terms of this and all other contracts between us and the purchaser.
